What types of contract are common related to research projects?
MoU / LoI
MoU, LoI
Before contracts for specific research projects are concluded, it is advisable to record the intention of cooperation in a pre-contractual manner. A Memorandum of Understanding (MoU) or a Letter of Intend (LoI) is suitable for this purpose.
Letters of intent initiating contracts can be drawn up by all parties. As all parties are equal players, the creation of a draft contract is not the responsibility of any particular party.

Non-Disclosure Agreement
Non-Disclosure Agreement
Non-disclosure agreements serve scientists to protect unpublished research results, especially before filing a patent application, or potential research partners to protect their trade and business secrets.
A confidentiality agreement is drawn up by the party wishing to provide confidential information.

Contract for the Exchange of Research Materials
Material Transfer Agreement
The exchange of research materials can serve to initiate further, joint research projects. In addition, such a contract also opens up the possibility of having certain scientific questions and investigations carried out by another and thus making the research of the material more effective through scientific division of labor.
A research material exchange agreement is drafted by the party wishing to provide material.Grant agreements and grant agreements are provided by the funding body.

Grant Agreements
Grant Agreement/Award Letter
Funders usually want to contractually regulate under what circumstances the funds provided may be used. For this purpose, grant contracts or financial assistance agreements are concluded.

Forwarding Contracts
Sometimes, all the funds for a joint project are transferred only to one of the funded institutions, the primary recipient of the grant. This institution is then obliged to forward the proportional funds to its partner institutions, the final recipients of the grant. In such cases, a forwarding contract must be concluded.
Onward transfer agreements are drawn up by the university or institution administering the funds.The coordinator of the respective project is responsible for drawing up cooperation and consortium agreements.

Cooperation and Consortium Agreements
A research cooperation requires that MLU scientists work together with third parties, with all parties contributing their project contributions in a work-sharing and content-related manner. To do this, they must make agreements on, for example, liabilities, handling of intellectual property, publications or the organizational structure of the association.
The coordinator of the respective project is responsible for drawing up cooperation and consortium agreements.

Contracts for Contract Research
If research services are to be provided on behalf of a private company or a public-law institution, a contract must be drawn up which defines the research objective or research question pursued by the client. Contract research is usually subject to full cost and sales tax.

Scholarship Contracts
For the purpose of studying, doctorate or habilitation or for any other specific scientific training or research purpose, the MLU and other institutions award scholarships to (prospective) scientists. For this purpose, a scholarship contract must be concluded.
Scholarship contracts are drawn up by the academic supervisor using the MLU model scholarship contract.

Fee Contracts
Insofar as a person who is not employed at the MLU is to perform tasks that are not aimed at success, the conclusion of a fee contract is recommended.
Fee contracts are drawn up by the faculty or institute at whose institution the service is to be provided.

Assignment Agreement
People who are not employed at the MLU and, for example, work in third-party funded projects, can equate themselves to employees in terms of their work results achieved in the project by means of an assignment declaration.
Assignment agreements must be drawn up by the party wishing to assign a right.

License Agreements
Interested parties in the use of patented technologies, utility models, designs, software or know-how can license these. We support contract negotiations and creation.
License agreements are drawn up by the licensor.

Work Contracts
A work contract is always focused on the success of an activity.
Contracts for work and services are drawn up by the faculty or institute at whose institution the work is to be performed.

Who is allowed to sign a contract at MLU?
In principle, the Rector is authorized to sign contracts in accordance with Section 69 (1) sentence 1 HSG LSA and Section 7 (1) of the Rectorate's Rules of Procedure. As a rule, however, the Head of administration is authorized to sign contracts in research matters.
After having revieed and negotiated the contract, the person in charge of the relevant typ of contract in department 6 - research submits the contract to the person authorized to sign.
